Telecom minister and Svyazinvest CEO named members of holding’s BoDInterfax
The Board of Directors of Svyazinvest on Friday adopted a resolution to appoint the telecommunications minister Igor Schegolev and the director general Evgeny Yurchenko as members of the holding’s board of directors, Interfax was told by head of the Information Department of Svyazinvest, Igor Pshenichnikov.
All in all, the approved list shows 11 candidates, he pointed out.
At present, Schegolev and Yurchenko are not board members.
If elected, Mr. Schegolev could become chairman of the board. The Board of Directors of Svyazinvest has traditionally been headed by the telecommunications minister, although after the agency was restructured and a management shakeup the chairman’s seat remained with Leonid Reiman, who is also presidential advisor. After the election of the new board the situation is changing, a source close to Svyazinvest told Interfax. According to this source, the minister will not be a rank-and-file member of the board.
The new board lineup does not include former advisor to the head of the telecommunications ministry Mikhail Leschenko, who was named to the position of deputy director general of Svyazinvest.
Aside from the telecom minister and the CEO of Svyazinvest the board could also include a new member – deputy head of the RF Federal Security Service Yury Korneev.
The Board of Directors of Svyazinvest will have a lineup of 9 members. At present, two seats on the board are held by representatives of AFK Sistema (RTS: AFKS), the subsidiary of which Comstar holds a blocking stake in the state holding – Sergey Drozdov and Sergey Pridantsev. Sistema’s sake in Svyazinvest could soon be handed over to the state as part of an asset swap.
Evgeny Yurchenko and Yury Korneev have been named to the board of directors of Sistema, which also includes Sergey Drozdov and Sergey Pridantsev, a representative of the company told Interfax. Thus, if, as of the date on which the shareholder register of Svyazinvest is closed for the annual meeting it still includes AFK structures, they will be able to give their votes to Evgeny Yurchenko and Yury Korneev.
Otherwise, there should be no changes in the board’s composition with the list including Leonid Reiman, professor of the Higher School of Economics Ivan Rodionov, managing director of direct investment funds Marshall Capital Partners Konstantin Malofeev, member of the board of directors of UBS Bank Marlen Manasov, managing director of VTB (RTS: VTBR) Invest Mikhail Butrin and managing director of MDM Bank (MBWB) Nikita Ryauzov.
In addition, the Board of Directors of Svyazinvest on Friday adopted a resolution to include on the agenda of the annual general shareholders meeting the issue of approval of the annual financial statement, 2009 dividend payment, payment of remuneration to board members, electing members of the audit committee and approving the auditor.
