FAS approves sale of Sky Link

The Federal Antimonopoly Service (FAS) has approved Svyazinvest’s application to acquire 50% of the voting shares of Sky Link, according to a statement issued by FAS.  Earlier, FAS approved an application filed by MS-Direkt on the acquisition of 50% of the voting shares of its parent company Sky Link.  FAS also authorized Sistema-Inventure, a wholly owned subsidiary of AFK Sistema, to acquire this equity position.  Sistema owns a 50% stake in Sky Link, while the rest is held by entities affiliated with RTDC Holding, which is controlled by Danish lawyer Jeffery Galdmond. According to the baseline scenario for the asset swap between Svyazinvest and AFK Sistema, AFK Sistema is to assign to the holding its stake in Sky Link, which, prior to this, should buy back its own shares from RTDC.  MS-Direkt will act as the buyer of shares from RTDC.  As a result, Svyazinvest will become the owner of 100% stake in Sky Link.
