Svyazinmvest hold BoD meetingPress release
The Board of Directors of Svyazinvest (hereafter, the Company) held a meeting on December 6, 2011.
The Board of Directors passed a resolution to set up the following committees attached to the Board of Directors of the Company:
• The Strategic Development Committee consisting of 4 people (Yury Kudimov appointed as chairman);
• The Audit Committee consisting of 3 people (Ivan Rodionov appointed as chairman);
• The Executive Remuneration Committee consisting of 3 people (Alexander Zharov appointed as chairman);
• The Corporate Governance Committee consisting of 4 people (Marlen Manasov appointed as chairman).
The Board of Directors heard a report presented by the management of the Company on the financial and economic condition of the Svyazinvest Group of companies as of the end of the first nine months of 2011.
In 2011 the main economic indicators of the Svyazinvest Group of companies (not including the Sky Link Group of companies) showed positive trends, although the pace of growth has slowed down. Revenue during the reporting period amounted to RUR 205.9 bln (up 3.7% compared to 9M 2010). Net profit amounted to RUR 31.6 bln (up 1.9% compared to 9M 2010).
The total amount of investments in 9M 2011 stood at RUR 33.1 bln, which is 9.9% more than in the same period of 2010. In addition, as was the case in 2010, the largest amount of investments (87.6% of the total recorded as of 9M 2011) was allocated to the development of strategically important areas of development, such as broadband Internet access, value-added services, IT solutions, and also the construction of fiber-optic telecommunications lines.
The Board of Directors of the Company also heard a report on the status of the main financial and operating of Sky Link. The report was delivered by Vladislav Shaybovich, general director of the company.
It was noted at the board meeting that Sky Link should be integrated with Rostelecom as quickly as possible. A plan for developing Sky Link as part of Rostelecom has already been worked out and will be mutually advantageous for both operators. After receiving access to Sky Link’s license resources (GSM/IMT-MC/UMTS), Rostelecom will be able to more efficiently roll out its mobile assets and become a universal telecom operator.
The Board of Directors meeting was attended by the following members:
• Alexander Trubetskoy, co-manager of Trading France;
• Alexander Zharov, deputy telecommunications minister;
• Mikhail Zadornov, president/chairman of the management board of VTB24;
• Yury Kudimov, general director of Vnesheconombank (VEB Capital);
• Marlen Manasov, individual entrepreneur;
• Alexander Pertsovsky, chairman of the management board in Russia, Renaissance Capital;
• Alexander Provotorov, general director of Rostelecom;
• Ivan Rodionov, professor at state university Higher School of Economics;
• Vadim Semenov, general director of Svyazinvest.
