The board of directors of Dagsvyazinform voted unanimously at its April 30, 2010 meeting to include on the agenda of its annual general shareholders meeting the issue of a merger between Dagsvyazinform and Rostelecom.
The agenda of the annual general shareholders meeting scheduled for June 17, 2010 also includes the issue of approving the merger agreement between Dagsvyazinform and Rostelecom. This agreement contains the swap ratio to be used for converting the shares of Dagsvyazinform into those of Rostelecom.
According to the agreement, 1.796 (one point seven hundred and ninety six) authorized common shares of Dagsvyazinform are to be converted into one addition common share of Rostelecom. In addition, 2.285 (two point two hundred eight five) authorized common shares of Dagsvyazinform are to be converted into an additional common share of Rostelecom.
The board of directors of Dagsvyazinform approved the buyback of the company’s shares from shareholders that are opposed to the merger of the company with Rostelecom. The buyback price for the company’s common and preferred shares will be identical and amount to RUR 44.11 per one share.
The board of directors also preliminarily approved the company’s 2009 annual financial statement.
The board proposed to the annual general shareholders meeting to approve BDO as the company’s 2010 audit firm.
